Terms and Conditions

Virtual Fundraising Agreement

This Ziggby Virtual Fundraising Agreement ("Agreement") contains the terms and conditions that govern your participation in the Ziggby Virtual Fundraising program described herein (the "Program"). The terms “ziggby”, "we," "us," or "our" refer to Ziggby Group, LLC, and “organization”,"you" or "your" refer to the company, entity, organization or participant that is participating in or seeking to participate in the Program.  In this agreement  "Ziggby Virtual Fundraising" refers to the websites ziggby.com, fundraising.ziggby.com, and shop.ziggby.com (collectively the “Sites”, each the “Site”).

By applying to the Program you are confirming that you have read the agreement and agree to the terms and conditions.

Registration
You must first register and be approved for an account prior to enrolling in the Program.

Enrollment Code
You will be supplied with a unique enrollment code to help identify, track and credit commissions for purchases made to support your Organization.  The enrollment code can be found on the Organization Dashboard..  The enrollment code is to be kept confidential and not be displayed in public areas and shall only be shared with Supporters of the Organization.

Commissions
Commissions are generated on a per sale basis.  For a sale to generate a commission for an Organization, the Supporter must purchase a product from our online store, complete the order and remit full payment for the product at the time of checkout. Commissions will only be paid on sales that are made when the Supporter either clicks through a qualified link, by entering a valid enrollment code, or by entering a valid assigned coupon code.  Commission details can be viewed on the Organization Dashboard.  The Organization will continue to accumulate commissions for each paid transaction by the Supporter.

Payment
Your Organization will be automatically paid when the commission reaches a minimum balance of $50 USD. Payments will be made once per month and after at least 30 days from the time commissions are earned.  Payment processing can take up to 15 business days. Payments will be paid out via Stripe ACH or check, depending on what method you selected.

Refunds
In the event a Supporter is issued a refund for a transaction for which the Organization has earned commissions, the refund amount will be deducted from the Organization’s balance on any commissions earned .

Usage and Obligations
Organizations are permitted to use the Ziggby brand and marketing resources available in the Organization Dashboard. Logos and other assets cannot be modified. The Organization does not gain any trademark, copyright or any other rights to these materials.

The Organization will never imply that they are acting on behalf of Ziggby and will never advertise Ziggby products directly. The Organization will never bid for advertisements that compete with Ziggby.

The Organization will never represent themselves, Ziggby or their relationship with Ziggby in a false or misleading way.

The Organization will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Ziggby.

Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Organization terminates the agreement, no further commissions from Ziggby will be paid for any past or future customer transactions.

If Ziggby chooses to terminate the agreement, any balance greater than $25 USD will be paid to the Organization within 60 days of termination. Balances that are smaller than $25 will be forfeited.

Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Michigan, without regard to its conflict of laws rules.

Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Michigan. An award of arbitration may be confirmed in a court of competent jurisdiction.

Modifications
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Organization Program rules.
